1. Company Information
These Terms of Service ("Terms") govern the relationship between Soniya Manufacturers ("Company", "we", "us", "our") and any person or organisation ("Customer", "you") that accesses our website, submits an enquiry, or purchases our products.
2. Products & Services
Soniya Manufacturers manufactures and supplies blood collection tubes, sample containers, urine collection systems, and related laboratory consumables ("Products"). Our Products are intended exclusively for professional and institutional use by qualified healthcare and laboratory personnel.
- All Products conform to ISO 9001:2015 quality management standards.
- Products comply with applicable Medical Devices Rules 2017 (India) and are registered with CDSCO where required.
- Product specifications, images, and descriptions on our website are provided for informational purposes and may be updated without prior notice.
- Soniya Manufacturers reserves the right to modify, discontinue, or substitute any Product at any time.
3. Eligibility & Accounts
Our website and portal are intended for use by businesses, hospitals, clinics, distributors, and qualified medical/laboratory professionals. By registering or placing an order, you represent that:
- You are at least 18 years of age and legally capable of entering into a binding agreement.
- You are authorised to act on behalf of the organisation you represent.
- All information you provide is accurate and up to date.
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorised access to your account.
4. Orders & Acceptance
- All orders are subject to acceptance by Soniya Manufacturers. Submission of an order constitutes an offer, not a binding contract.
- A contract is formed when we issue a written order confirmation or dispatch the goods.
- We reserve the right to refuse or cancel any order for reasons including product unavailability, pricing errors, or suspected fraud.
- Minimum order quantities may apply. Contact our sales team for details.
- Purchase Orders must clearly state the product name, catalog number, quantity, and delivery address.
5. Pricing & Payment
- Prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise.
- Prices are subject to change without notice. The price applicable to your order is the price confirmed at the time of order acceptance.
- Payment terms for B2B customers are as mutually agreed upon and stated in the invoice (typically net 30–45 days for established accounts).
- New customers may be required to pay in advance or provide a credit reference.
- Late payments may attract interest at 1.5% per month on the outstanding balance.
- We accept bank transfer (NEFT/RTGS/IMPS), cheque, and online payment through our portal.
6. Delivery & Title
- Delivery timelines are estimates and not guaranteed unless expressly agreed in writing.
- Risk of loss passes to the Customer upon delivery to the designated address or upon handover to the nominated carrier.
- Title to the Products passes to the Customer only upon receipt of full payment.
- Any shortages or discrepancies must be reported within 48 hours of delivery.
7. Product Quality & Warranty
Soniya Manufacturers warrants that Products will conform to their published specifications at the time of delivery and will be free from manufacturing defects.
- Warranty claims must be raised within the Product shelf life or within 30 days of delivery, whichever is earlier.
- The warranty does not cover damage caused by improper storage, misuse, or handling contrary to the Instructions for Use.
- Our sole obligation under this warranty is to replace the defective Product or issue a credit note, at our discretion.
- This warranty is exclusive and replaces all other warranties, express or implied, including merchantability or fitness for a particular purpose.
8. Proper Use & Regulatory Compliance
Our Products are intended for in-vitro diagnostic use and must be used only by trained healthcare or laboratory personnel in accordance with applicable regulations.
- The Customer is responsible for ensuring that Products are used in accordance with the Instructions for Use, applicable laws, and professional standards.
- Products must be stored under the conditions specified on the label and packaging.
- The Customer must not repackage, relabel, or resell Products in a manner inconsistent with applicable regulations.
9. Intellectual Property
All content on our website — including text, graphics, logos, images, product designs, and software — is the intellectual property of Soniya Manufacturers or its licensors and is protected by applicable intellectual property laws.
- You may not reproduce, distribute, or create derivative works from our content without prior written consent.
- Product names and the Soniya Manufacturers trademark may not be used without written authorisation.
10. Confidentiality
Each party agrees to keep confidential any non-public business information received from the other party ("Confidential Information") and not to disclose it to third parties without prior written consent. This obligation survives termination of the business relationship for a period of three (3) years.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Soniya Manufacturers shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our Products or website.
- Our total liability for any claim shall not exceed the amount paid for the specific Products giving rise to the claim.
- We do not exclude liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Soniya Manufacturers, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your misuse of our Products; (b) your breach of these Terms; or (c) violation of any applicable law or third-party rights.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including natural disasters, pandemics, government actions, strikes, transport disruptions, or raw material shortages. The affected party shall notify the other within 5 business days of such an event.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising out of or related to these Terms shall first be attempted to be resolved amicably through good-faith negotiations. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Tirupati, Andhra Pradesh, India. Courts in Tirupati shall have exclusive jurisdiction for interim relief.
15. Amendments
We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of our website or placement of orders after changes are posted constitutes your acceptance of the revised Terms.
